1.About This Policy
This Acceptable Use Policy ("AUP") sets out the rules for how the Savnt platform (the "Platform") may and may not be used. It is incorporated by reference into the Master Agreement and all Order Forms between Savnt.io, LLC ("Savnt," "we," "us," or "our") and the entity that has purchased access to the Platform (the "Customer"). Capitalized terms not defined here have the meanings given to them in the Master Agreement.
The Platform is a multi-tenant, AI-native operational intelligence platform. It ingests, structures, and analyzes data, and produces findings, recommendations, and operational direction for franchise and multi-unit operators. The behavior of the people using the Platform matters — for the integrity of the data, for the quality of the Output, for the protection of every other customer on the Platform, and for the legal posture of the parties.
If your use of the Platform falls within the spirit and intent of this AUP, you will have no issues. If you are uncertain about a particular use, contact us before proceeding.
2.Scope and Who This Applies To
This AUP applies to:
- Customer, including all of Customer's affiliates and authorized system participants whose access has been provisioned under the Master Agreement or any Order Form.
- Users, meaning any individual whom Customer authorizes to access or use the Platform — including Customer's employees, officers, contractors, consultants, franchisees, and any other person granted credentials by or on behalf of Customer.
- Any other person who accesses or uses the Platform under credentials that Customer is responsible for managing.
Customer is responsible for ensuring that all of its Users understand and comply with this AUP. Customer remains liable to Savnt for any violation of this AUP by its Users, whether or not such Users were authorized to engage in the conduct.
3.Permitted Use of the Platform
You may use the Platform to:
- Operate Customer's business in accordance with the license granted in the Master Agreement and the applicable Order Form.
- Ingest Customer's operational data through Customer-authorized integrations and submissions.
- Receive and review the Platform's Output — including metric observations, behavioral observations, findings, archetype assignments, recommendations, and operational direction — and use that Output to inform Customer's business decisions, subject to the human-review responsibilities described below.
- Configure the Platform consistent with the Documentation, including timeframe sets, fiscal calendar declarations, source binding declarations, custom formulas, saved templates, and other operator-declared configuration.
All other uses are subject to this AUP and to the Master Agreement.
4.Prohibited Conduct
You must not, and you must not permit any other person to:
4.1Illegal, Harmful, or Tortious Activity
- Use the Platform to engage in, support, facilitate, or conceal any unlawful activity.
- Use the Platform in a manner that violates any applicable law, regulation, or industry standard — including without limitation laws relating to employment, wage and hour, labor relations, food safety, public health, consumer protection, anti-discrimination, advertising, intellectual property, privacy, or data protection.
- Use the Platform to store, transmit, or process content that is libelous, harassing, threatening, defamatory, obscene, or that infringes or misappropriates any third party's intellectual property or other rights.
- Use the Platform to discriminate against or surveil any individual or group on the basis of any characteristic protected by applicable law.
4.2Security and Platform Integrity
- Attempt to gain unauthorized access to the Platform, to any portion of the Platform that you are not entitled to access, to Savnt's underlying systems and infrastructure, or to any other customer's account, data, or environment.
- Probe, scan, or test the vulnerability of the Platform or any related system, or breach or circumvent any security or authentication measure.
- Introduce, transmit, upload, or otherwise distribute Malicious Code, viruses, worms, time bombs, Trojan horses, ransomware, or any other harmful, destructive, or deceptive code or material through the Platform.
- Interfere with, disrupt, or impair the integrity, performance, or availability of the Platform or any data, hardware, network, or software used to provide the Platform — whether by denial-of-service attack, excessive load, recursive automation, or any other means.
- Engage in web scraping, web harvesting, web data extraction, automated retrieval, or any other method of extracting data from the Platform or from any Output that is not expressly authorized by the Master Agreement or by Savnt in writing.
4.3AI Model Protections
- Attempt to extract, reconstruct, infer, or otherwise derive the weights, parameters, embeddings, system prompts, training data, fine-tuning data, or other underlying artifacts of the Platform's AI Technology — including without limitation by means of prompt-based extraction, model-distillation queries, embedding inversion, or membership-inference attacks.
- Use prompt injection, jailbreaking, role-play prompts, or any other technique designed to cause the Platform's AI Technology to depart from its intended operation, bypass safety controls, or generate Output that the Platform is designed not to generate.
- Use Output as Training Data, or as inputs or prompts to any other AI Technology, for the purpose of developing, training, fine-tuning, evaluating, benchmarking, or improving a competing AI model, product, service, or capability.
- Submit deliberately misleading, adversarial, or poisoned inputs to the Platform intended to corrupt the Platform's analytical accuracy, behavioral models, training data, or Output.
4.4Cross-Tenant Boundaries
The Platform operates with a cross-tenant model layer that compounds across customers without exposing any single tenant's data. You must not, and you must not attempt to:
- Access, attempt to access, infer, or extract data, configuration, Output, or any other information specific to any other customer of the Platform.
- Probe the Platform for evidence of other customers' identities, data volumes, configurations, or usage.
- Use the Platform's analytical capabilities to identify or de-anonymize individuals or entities within Aggregate Data, Derived Data, or any other cross-tenant artifact.
- Attempt to manipulate the cross-tenant model layer by submitting inputs designed to influence the Output that other customers receive.
4.5Confidentiality and Intellectual Property
- Disclose, publish, or otherwise make available any of the Platform's underlying technology, Documentation, Confidential Information, Output, or Derived Data to any third party except as expressly permitted by the Master Agreement.
- Remove, obscure, or alter any copyright, trademark, attribution, watermark, or other notice from the Platform, the Documentation, or any Output.
- Misrepresent the source or origin of any Output (for example, by publishing Output as Customer's original analysis without acknowledging the Platform's role) where such misrepresentation could mislead a third party in a material way.
- Use any of Savnt's trademarks, service marks, logos, or trade dress without Savnt's prior written consent.
4.6Misuse of Output and Operational Reliance
The Platform provides findings, recommendations, and operational direction to support Customer's business decisions. These are inputs to human decision-making, not substitutes for it.
- You must not rely on Output as the sole basis for any decision that has a material safety, regulatory, financial, employment, or legal consequence without independent human review by a qualified person. This includes (without limitation) decisions affecting food safety, employee discipline or termination, wage and hour compliance, occupational safety, tax reporting, regulatory filings, and significant financial commitments.
- You must not represent Output to any third party as the advice or work product of a licensed professional (such as an attorney, accountant, physician, financial advisor, or human resources professional) unless such a professional has independently reviewed and adopted the Output.
- You must not use Output in a manner intended to circumvent applicable legal protections, industry standards, or contractual obligations — for example, using behavioral observations to disadvantage employees in a manner that would violate labor or anti-discrimination law.
- Customer is responsible for the consequences of Customer's and its Users' decisions, actions, and omissions in reliance on Output, as set forth in the Master Agreement.
5.AI Services and Account Security
Savnt provisions and manages access to approved AI providers and accesses them on the Customer's behalf; Customers are not required to supply their own AI provider credentials. AI consumption is billed on a pass-through basis as set forth in the applicable Order Form and Master Agreement. Customer is responsible for all activity that occurs under its Platform account and its Users' credentials, including AI consumption initiated through the Platform on Customer's behalf.
With respect to Platform account security, you must:
- Use Platform user credentials (usernames, passwords, multi-factor tokens) only for the User to whom they were issued.
- Not share login credentials with any other person, whether inside or outside Customer's organization.
- Promptly deactivate access for any User whose authorization has ended (for example, an employee who has departed or a contractor whose engagement has concluded).
- Promptly notify Savnt of any known or suspected unauthorized access to the Platform.
6.Content Submitted to the Platform
When you submit data, configurations, prompts, or any other content to the Platform, you confirm that:
- You have all rights, consents, and authorizations necessary to submit such content and to grant Savnt the rights set forth in the Master Agreement.
- The content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, contract, or other rights.
- The content does not violate any applicable law, regulation, or this AUP.
- The content does not contain Malicious Code.
You are responsible for the accuracy and completeness of content you submit. The Platform structures, classifies, enriches, and analyzes the content as received; inaccurate or incomplete content will produce inaccurate or incomplete Output.
7.Privacy and Personal Information
The Platform processes operational data that may include Personal Information about Users, customers of Customer's business, employees, and other natural persons.
- Customer is responsible for ensuring that it has all consents, legal bases, and authorizations required under applicable privacy and data protection law to submit Personal Information to the Platform and to receive Output that incorporates such Personal Information.
- Customer must comply with all applicable privacy law in connection with its use of the Platform, including without limitation laws governing employee data, customer data, biometric data, and the processing of pseudonymized identifiers used by the Platform for behavioral analytics.
- Users must not use the Platform to identify, profile, surveil, or take adverse action against any individual in a manner that violates applicable law, the Master Agreement, or this AUP.
Where a Data Processing Addendum has been executed between Savnt and Customer, the terms of that addendum govern the operational details of Personal Information processing.
8.Reporting Suspected Violations
If you become aware of any actual or suspected violation of this AUP — including security incidents, credential compromise, unauthorized access, misuse of the Platform, or content that violates Section 4 above — promptly report it to Savnt at:

Customer agrees to cooperate in good faith with Savnt's investigation of any reported or suspected violation, including providing access to relevant records, logs, and personnel.
9.Enforcement and Consequences
Savnt takes violations of this AUP seriously. Depending on the nature and severity of the violation, Savnt may, in its discretion and without limiting any other rights or remedies it may have under the Master Agreement or applicable law:
- Issue a warning or guidance to Customer or to the affected User;
- Require remediation, including changes to Customer's configuration, training of Users, or implementation of additional controls;
- Suspend the affected User's access to the Platform, or suspend Customer's access in whole or in part;
- Remove content from the Platform;
- Terminate the Master Agreement or any Order Form in accordance with the termination provisions of the Master Agreement;
- Report the violation to law enforcement or to other affected parties.
For serious violations — including without limitation Malicious Code distribution, attempts to access other customers' data, model-extraction or jailbreaking attempts, and violations that materially threaten the security or integrity of the Platform — Savnt may suspend or terminate access immediately upon discovery.
Customer's obligation to pay Fees through the end of the applicable Subscription Term continues notwithstanding any suspension or termination resulting from a violation of this AUP, as set forth in the Master Agreement and any applicable Order Form.
10.Changes to This Policy
Savnt may amend this AUP from time to time at its sole discretion. The current version of this AUP will be available at:

The version of this AUP posted at the above URL controls upon posting. Customer's continued use of the Platform following any amendment constitutes Customer's acceptance of the amended AUP.

This AUP is incorporated by reference into the Master Agreement between Savnt.io, LLC and Customer. In the event of any conflict between this AUP and the Master Agreement, the Master Agreement controls except where this AUP imposes a stricter obligation, in which case the stricter obligation applies.
